1. Corporate & Platform Disclosure
Parent Company: Synexa Inc. (Delaware C-Corp)
Operating Entity: Car Smart People LLC (Delaware LLC)
Ownership: Majority-owned by Synexa Inc.
Intellectual Property: All Car Smart People trademarks, software, marketing systems, and chatbot technology are owned by Synexa Inc. and licensed to Car Smart People LLC.
2. Platform Purpose
Car Smart People LLC provides:
- Marketing services
- Advertising services
- Communications tools
- Professional directories
for automotive industry professionals and CCPs. Car Smart People LLC may contract third-party vendors to deliver these services.
3. Terms for Providers
3.1 Acceptance Flow
Account creation requires explicit acceptance of:
- Terms & Conditions
- Privacy Policy
- Data Processing Addendum
Acceptance is logged electronically.
3.2 Independent Contractor Status
Providers are:
- Not employees
- Not agents
- Not partners
of Synexa Inc., Car Smart People LLC, or Car Smart Club LLC.
3.3 Fees
Subscription and listing fees billed in advance. Fees are non-refundable once activated.
4. Chatbot & Automation Disclosure
Chatbots assist with onboarding, support, and FAQs.
Chatbots do not replace human judgment.
Providers remain responsible for all business decisions.
5. GDPR Data Processing Addendum
Providers agree to:
- Use consumer data only for service fulfillment
- Implement reasonable security safeguards
- Report data breaches within 72 hours
- Delete data after service completion
6. App Store & Google Play Compliance
Apple and Google are third-party beneficiaries only for app usage terms. They assume no responsibility for provider conduct or platform services.
7. Limitation of Liability
Car Smart People LLC is not liable for:
- Provider revenue outcomes
- Marketing performance guarantees
- Consumer disputes
8. Governing Law
These Terms are governed by the laws of the State of Delaware, USA.
